By accessing or using the services provided by VectorTechCore ("we," "us," or "our"), located at Avenida de Jaume III 10, 07012 Palma de Mallorca, Spain, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Scope of Services

VectorTechCore provides technology services including cloud architecture design, proactive IT support, system automation, legacy workflow modernization, DevOps and CI/CD pipeline setup, network security auditing, backup and disaster recovery planning, managed server hosting, database optimization, and IT strategy consulting.

The specific scope, deliverables, timeline, and pricing for each engagement are defined in the corresponding Statement of Work (SOW) or Service Agreement between VectorTechCore and the client.

3. Client Obligations

• Provide accurate and complete information necessary for service delivery
• Grant reasonable access to systems, credentials, and infrastructure as required
• Designate a primary point of contact for each engagement
• Review and approve deliverables within the agreed review periods
• Make payments in accordance with the agreed payment schedule

4. Payment Terms

All invoices are issued upon completion of milestones or monthly billing cycles as defined in the SOW. Payment is due within 15 calendar days of invoice date unless otherwise agreed. Late payments incur a 1.5% monthly interest charge. All prices are exclusive of applicable taxes (VAT/IVA), which are the client's responsibility.

5. Intellectual Property

Upon full payment, all custom code, configurations, documentation, and deliverables created specifically for the client under a SOW are transferred to the client. VectorTechCore retains ownership of pre-existing tools, libraries, methodologies, and frameworks used in service delivery. VectorTechCore may reference the engagement in marketing materials unless the client requests otherwise in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information exchanged during the engagement. This obligation survives termination of the agreement for a period of 3 years. Exclusions apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of Liability

VectorTechCore's total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim during the 12-month period preceding the claim. In no event shall VectorTechCore be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Service Level Agreement (SLA)

For ongoing support engagements, VectorTechCore commits to the following SLA targets:

• Critical incidents: Response within 15 minutes, resolution target within 4 hours
• High-priority incidents: Response within 1 hour, resolution target within 8 hours
• Standard requests: Response within 4 hours, resolution target within 2 business days
• Planned maintenance: 72-hour advance notification

9. Termination

Either party may terminate a service agreement with 30 days' written notice. Immediate termination is permitted if the other party materially breaches these terms and fails to cure within 15 days of written notice. Upon termination, VectorTechCore will provide a final deliverable handover including all relevant documentation, credentials, and configuration files.

10. Governing Law

These Terms of Service are governed by the laws of Spain and the European Union. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Palma de Mallorca, Spain. Both parties agree to attempt informal resolution before initiating formal legal proceedings.

1. General Refund Principle

VectorTechCore is committed to delivering high-quality technology services. Refunds are evaluated on a case-by-case basis in accordance with the project milestones defined in the Statement of Work (SOW) and applicable EU consumer protection regulations.

2. Milestone-Based Refunds

For project-based engagements, payment is structured around milestones. If a project is cancelled by the client before a milestone is completed, the client is entitled to a full refund for that uncompleted milestone. Completed and approved milestones are non-refundable.

3. Recurring Services

For monthly recurring services (IT support, monitoring, managed hosting), clients may cancel with 30 days' written notice. Refunds for the current billing period are prorated based on the number of unused service days. No refunds are issued for partial months already in progress beyond the prorated amount.

4. Service Defects

If VectorTechCore delivers a service that materially fails to meet the specifications defined in the SOW, the client may request a remediation at no additional cost. If remediation is not feasible within a reasonable timeframe (not to exceed 30 days), the client is entitled to a proportional refund for the defective deliverable.

• Cloud infrastructure costs already incurred (e.g., AWS, Azure compute charges)
• Consulting hours already delivered and approved by the client
• Services rendered under a custom enterprise agreement with specific refund terms

7. Statutory Rights

This refund policy does not affect your statutory rights under EU consumer protection law and Spanish Royal Decree-Law 1/2007. If you are a consumer (not a business), you have the right to withdraw from a distance contract within 14 days of purchase, subject to the exceptions for services already performed with your consent.
